Your mission
As Legal Counsel for Lakestar Advisors, you will work closely with our General Counsel in Zurich and Legal Counsel in London, and together handle all legal matters relating to the funds, its transactions and portfolio companies.
You will get the opportunity to work directly with the entire Lakestar team, including the Partners, the investment team as well as all other operative departments. As an experienced operator you will also get to act as a key sparring partner to our founders on strategic legal topics - your work shapes the direction and ultimately the success of their businesses. You will also get to support the team with implementing policies, procedures and ensuring the delivery of our compliance programs.
As the main legal contact point in our Berlin office, you will be given plenty of autonomy and ownership to support growth and development in the role going forward.
Responsibilities:
Give accurate and timely counsel to the investment team in a variety of legal topics mostly in relation to transactional documents during the investment process through to the execution of investments (both initial funding rounds and follow-on funding rounds).
With our General Counsel, lead due diligence of startup investments.
You research and evaluate different risk factors regarding legal decisions, map out potential issues identified during the due diligence and create a solution framework when needed.
Participate in negotiating potential investment deals and handle legal aspects of transactions and exits/divestments.
Advise Lakestar on a wide range of legal issues in relation to exits of portfolio companies, fund administration, regulatory topics and general legal and compliance matters related to our day-to-day operational activities.
Work with external parties (portfolio companies, fund administrators, external law firms, public authorities, other investors etc.), creating relations of trust.
Provide general legal support related to the management of Lakestar Funds and Lakestar’s advisory units when needed.
Occasionally required to give legal advice to portfolio companies on legal topics such as e.g. venture debt and employee options (ESOP).
Ensuring ESG & compliance policies and procedures are in line with regulatory requirements, updating and refreshing them as regulatory requirements change.
Regulatory reporting for in-scope jurisdictions, ensuring that all compliance related reporting is complete and submitted on time, as well as assisting with relevant registrations (whether firm level or individual level) and required firm-level material.
Assisting with the development and delivery of compliance training and supporting other business areas to develop and maintain systems, procedures and controls to ensure ongoing compliance.
